These Terms of Service (“Terms”) govern your access to and use of the labotrack website at www.labotrack.com and the application at app.labotrack.com (collectively, the “Service”), operated by labotrack (“we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation.

labotrack is an online asset management platform designed for research laboratories. The Service allows users to track, manage, and report on laboratory assets including equipment, instruments, and supplies. Features include asset tracking, QR code and barcode scanning, assignment management, multi-lab support, search and filtering, and data export.

3.1 Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You must notify us immediately at alwyn@labotrack.com if you become aware of any unauthorised use of your account.

3.3 Account Types

The Service supports individual and organisational accounts. Organisation administrators are responsible for managing member access and permissions.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Service or other users' accounts.
• Upload, transmit, or distribute any malicious code, viruses, or harmful content.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to store or process illegal or infringing content.
• Attempt to extract, copy, or reconstruct the underlying code or design of the Service.
• Scrape, crawl, or use automated means to access the Service without consent.
• Resell, sublicense, or redistribute the Service without prior written consent.

5.1 Your Data

You retain full ownership of all data you upload, create, or store in the Service. We do not claim any ownership rights over your data. You grant us a limited licence to host, store, and process your data solely to provide the Service.

5.2 Data Portability

You may export your data at any time. Upon account termination, we provide at least 30 days for you to export your data before it is permanently deleted.

5.3 Our Property

The Service, including its content, features, functionality, design, and underlying technology, is the exclusive property of labotrack and is legally protected.

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

7.1 Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

7.2 Limitation of Liability

To the maximum extent permitted by law, labotrack shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. Our total aggregate liability shall not exceed the amount you paid us in the twelve months preceding the claim, or GBP 100, whichever is greater.

7.3 Exceptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

You agree to cover any costs, claims, or losses that arise if your use of the Service or violation of these Terms causes harm to labotrack, its officers, directors, employees, or agents.

9.1 By You

You may terminate your account at any time by contacting us at alwyn@labotrack.com or through the account settings.

9.2 By Us

We may suspend or terminate your access immediately if you breach these Terms or if your continued use poses a risk to the Service or other users.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases. We retain your data for 30 days to allow for export, after which it is permanently deleted.

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days notice via email or through the Service. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

• Entire agreement: these Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and labotrack.
• Severability: if any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: our failure to enforce any right does not constitute a waiver of that right.
• Assignment: you may not assign your rights without our consent. We may assign ours without restriction.
